TRANSACTION OF THE WEEK!!!

$10,000,000+ Working Capital Line and 100% of Cost Land Acquisition Financing For Prime In-Fill Assemblage Going Through Entitlements: In one of the most creative "Structured Financings" arranged by GSP, this transaction summary is subject to a Confidentiality Agreement. We can provide sufficient information to our readers to determine if they have projects requiring financing which may be similar in nature. The Property and the Pre-Development Status: Client has completed a complex multi-parcel assemblage of high density land in one of the strongest urban cores in the western U.S. The loan funded during the pre-entitlement stage. Once entitled, significant FAR value should be created if approvals are received for an approximate 1,000,000 sf mixed use development. To find an institutional lender that would fund 100% of the project costs, including the ability to take down land. The client did not want to give up a % of theThe Financing Request: profits or give up control. Underwriting Process: The lender did considerable due diligence. This included their in-house underwriting team which included MAI's spending several days with us reviewing the project, meeting with city officials, hiring their own 3rd party due diligence team including a national appraisal firm, etc. Downside risk was carefully evaluated. The developer's track record was a significant element in the approval process. Financing: $10,000,000+, 3 year term, 100% of costs, 2 pts, yield based on money drawn down (not on size of commitment), non-participating. Developer estimates the financing can be worth as much as $15MM by not giving up 50% or more of his position. (David Buxton, George Smith and Henry Bryan)

Interest Rate/CMBS Update Treasuries: The 10 year T remains stable in the 6.00%-6.05% range for the last two weeks as the bond market becomes more comfortable with signs of a slowing economy. Even today's hotter than expected GDP report (5.2% with the price sensitive chain deflator component at 2.5%) only raised the yield 4 bps. Yesterday's Durable Orders Report and Employment Cost Index (very closely watched by Greenspan) indicated manageable growth with negligible inflationary pressure on wages. Also, profit expectations for several publicly traded companies are being sharply reduced for the remainder of 2000 which not only is further indication of a slowing economy, but is causing a "flight to quality" as money flows from equities into fixed rate instruments such as bonds. Also, continuing budget surplus figures indicate much less than expected future borrowing by the Fed, threatening to make the 10 and 30 year Treasury issues "endangered species". Greenspan Watch: According to the Fed futures market, the odds are down to approx. 30% that the Fed will raise rates at the August 22 meeting. The significance of that meeting is magnified because chances of rate manipulation at the October 3 meeting is considered slim to none due to its proximity to the election. CMBS: A $1.1 billion fixed rate conduit pool priced this week. Interestingly, the collateral included 12.1% co-op loans originated in New York. Also, multi-family is only 8.1% of this pool (office led with 27.7%). This continues a recent trend in pools: apartment loans are rarely the leading product type. Bond buyers do not seem to mind, however, as all issues were oversubscribed. The 10 year AAA's priced at T + 156 (recent pools had been pricing north of +160), and the all important pricing over SWAPs was +39 (anything under +40 is considered good execution; most recent pools priced that tranche in the + 40 to 45 range). Supply and demand dynamics are coming into play as lower CMBS volume this year is causing bond buyers to anticipate upcoming issues with more interest and a willingness to accept lower yields…Stay tuned… (David R. Pascale, Jr.)
